Full legal services for the major asset restructuring project of Qinling Cement (600217)

Qinling Cement sold all the company's assets (including liabilities) to the controlling shareholder Jidong Cement, and issued additional shares to 11 Issuing targets including China Recycling Resource.Through the reorganization of major assets of Qinling Cement, China Renewable Resources Development Co., Ltd. completed the backdoor listing and became the platform of listed companies China National Supply and Marketing Corporation.

As a special legal consultant of Qinling Cement, Ms.Mr. Liu participated in the whole process legal services including the determination of trading plan, transaction framework argumentation, legal due diligence, drafting various transaction agreements, and issuing legal opinions.

Whole-process legal services for the non-public issuance project of CRE (600217)

CRE planned non-public issuance to specific targets, raising funds of no more than 460 million yuan; As a special legal consultant, Ms.Mr. Liu provided legal services including discussions to determine pricing plans, legal due diligence, drafting agreements, and issuing legal opinions.

Whole-processl legal services for Jiushenghe IPO project

As the lead lawyer of the IPO project of Jiushenghe, Mr. Liu participated in the listing application of the project and provided opinions, assistance and guidance on the legality of various documents including the restructuring and reforming plan, the establishment of the stock company and the stock issuance and listing. She also provided legal documents such as legal opinions and lawyers' work reports.

Whole-process legal services for the listing of Xinjiang Kashgar Rural Commercial Bank Co., Ltd.

Kashgar Bank is a rural credit cooperative association approved by the People's Bank of China in 1996. After 19 years of development, it was approved by the China Banking Regulatory Commission to formally establish a joint-stock bank in 2014.

As the lead lawyer of the NEEQ project of Kashgar Bank, Mr. Liu participated in the application, as well as provided legal services including assisting drafting and modifying of various transactions agreements, assisting in the opening of the shareholders, drafting relevant meeting documents and so on.
